Finder.Capital Raising

Debt structuring so the company can pay from the cash it generates.

Finder organizes and restructures corporate debt: a complete debt map, debt service capacity, refinancing and term extension with banks, replacing expensive debt with the right debt, collateral and covenants.

The goal is a debt structure that fits the company's cash flow and plan, not just the next rollover.

When it makes sense

When debt starts making decisions for the company.

  • Short-term debt funding long-term assets

Bank working capital lines paying for assets that take years to pay back.

  • Many facilities across many banks

Different costs, tenors and collateral, with no consolidated view.

  • Interest eating into results

Financial costs consuming the margin the business generates.

  • Concentrated maturities

Large repayments falling in the same period and squeezing cash.

  • Covenants close to the limit

Ratios required by lenders on the verge of being breached.

  • Before an investment or acquisition

The current structure needs to make room for new debt.

What you receive

From the debt map to a new, documented structure.

Debt map

Everything the company owes, in one place.

  • Balances, effective cost and tenor by facility
  • Collateral and covenants
  • Consolidated repayment schedule

Debt service capacity

The debt service the cash flow can carry.

  • Cash flow projection
  • Net debt to EBITDA and coverage
  • Headroom for investment and contingencies

Target structure

The debt the company should have.

  • Desired tenor, grace and cost
  • Maturity profile
  • Possible sources to get there

Refinancing and extension

The target structure taken to each lender.

  • Proposal per bank, on the same basis
  • Negotiations run with the company
  • Support through documentation

Replacement and consolidation

Expensive debt replaced with the right debt.

  • Long-term and incentive lines, where applicable
  • Capital markets instruments, depending on profile
  • Consolidation of facilities

Collateral and covenants

What is pledged and what can be released.

  • Map of pledged and free collateral
  • Covenant review
  • Plan to release collateral

In court-supervised or formal out-of-court restructurings, the financial work is carried out together with the company's legal counsel, who leads the legal aspects.

Point of view

Cash first, then the bank.

Refinancing without a cash flow projection is just postponement.

A proposal that works shows each lender how much the company can pay, when and with what collateral, on the same information base for all of them.

  • Map: everything the company owes.
  • Cash: what it can afford to pay.
  • Structure: tenor and cost that fit.
  • Execution: lender by lender.

How we work

From diagnosis to a new structure.

  1. Diagnosis

Debt, cash and lender relationships as they stand today.

  2. Map and projection

All facilities consolidated and debt service capacity projected.

  3. Target structure

Tenors, costs and sources that fit the cash flow and the plan.

  4. Negotiation

Proposals and discussions with each lender, run with the company.

  5. Documentation

Follow-through on contracts and new terms.

In practice

Banks organized, limits approved.

We describe the situation, never the company.

Finder.Financial Advisory

Context

Company with fragmented banking relationships.

Challenge

A board asking for financial information at every meeting.

What Finder did

We led the approval of credit limits and the relationship with the banks, and structured how information is prepared for the board.

Outcome

Limits approved, and board reporting no longer rebuilt every cycle.

Frequently asked questions

What clients usually ask.

How do you refinance bank debt with a better chance of success?

By arriving with numbers the bank can analyze: the complete debt map, a cash flow projection and a repayment proposal consistent with that projection. Different proposals for each bank, or proposals without a cash basis, tend to create distrust and repeated rounds of renegotiation.

What is net debt to EBITDA?

Total debt minus available cash, divided by EBITDA for the last twelve months. It shows how many years of operating cash generation would be needed to repay the debt and is one of the ratios banks and investors use most.

What are covenants?

Obligations in debt contracts, such as keeping leverage below a limit or not pledging certain assets to other lenders. A breach can accelerate the debt, which is why monitoring them is part of debt structuring.

Does Finder negotiate directly with banks?

Yes, together with the company and within the agreed scope. Finder prepares the proposals, takes part in the discussions and follows the documentation. The decision on which terms to accept always rests with the company.
