Finder.Capital Raising

Capital raising and capital structure advisory.

Finder helps companies assess capital alternatives, structure transactions and run financing processes with lenders and investors: debt and credit, investor materials and equity raises, development finance in Brazil, and structured debt.

A company's financing structure should reflect its investments, its cash generation, its debt profile and its strategic objectives.

The work combines financial analysis, project preparation, modeling, negotiation and support through each stage to closing.

How we work

The need first, then the instrument.

The cheapest line on paper is not always the best option. The right structure depends on the use of funds, the cash the company generates and the obligations it can meet.

  1. Need

How much, what for and by when.

  2. Capacity

Cash generation, existing debt and available collateral.

  3. Alternatives

Cost, tenor, grace, collateral and obligations compared side by side.

  4. Structuring

Project, model, documentation and negotiation with institutions.

  5. Closing

Support through to disbursement and, where agreed, evidence of fund use.

Both sides of the table

Someone who has analyzed credit knows what the lender will ask.

Finder's track record starts in credit analysis at a European investment bank and runs through treasury at large companies and the CFO's chair.

That changes how a transaction is prepared: numbers, collateral and project reach the institution already organized around the questions it will ask.

  • The company

What the business needs and can sustain.

  • The funders

What banks, funds and investors look at before approving.

  • Execution

What the team can implement, and how fast.

Real case

Equity to grow, development finance to build.

We describe the situation, never the company. We do not disclose amounts raised or terms obtained.

Finder.Capital Raising

Context

Technology company that had just closed its Series A, with a flipped corporate structure.

Challenge

Funding technology development without consuming the equity raised.

What Finder did

We directed the round's equity to M&A and customer acquisition, and structured technology development as a project eligible for development financing in Brazil.

Outcome

Shareholder capital now funds growth, not development.

Frequently asked questions

What clients usually ask.

Where does a capital raising process start?

With the need: how much the company needs, what for and by when. Then comes debt capacity: cash generation, existing debt and available collateral.

Only then does it make sense to compare instruments and institutions. Starting from the instrument tends to produce deals that do not fit the cash flow or the project timeline.

Can Finder help foreign companies finance operations in Brazil?

Yes. Brazil has development finance programs, such as those of FINEP and BNDES, and local credit markets that international groups with Brazilian operations often do not explore. Finder assesses eligibility, structures the application and works with the local team through to contracting.

Does Finder guarantee that financing will be approved?

No. Approval, terms and disbursement depend on the lender's or investor's analysis and decision. Finder's job is to structure the best possible proposal and to say plainly when an alternative does not make sense.

Does Finder represent banks, funds or investors?

No. Finder is an independent advisor: it works for the company and does not represent lenders, investors, development banks or other institutions.
